Terms of Service

1. Parties and acceptance

These Terms form an agreement between you (the "Merchant") and Al Adas Brothers for Ceramic and Porcelain Company, Jenin, Palestine, operator of the Oynexa platform ("the Platform", "we"). By using the Platform you accept these Terms. You must be at least 18 and authorised to represent your business.

2. The service

The Platform connects the Merchant's WhatsApp Business number — through Meta's official WhatsApp Business Platform — to an automated reply system that answers the Merchant's customer enquiries from the Merchant's own catalogue, presents products and prices, and records orders, together with a dashboard for conversations and orders. The Platform is a tool that assists the Merchant; prices come from the Merchant's catalogue and the Platform cannot issue discounts. The Merchant remains responsible for catalogue accuracy and for any commercial commitment arising from its conversations.

3. Account and WhatsApp connection

• The Merchant is responsible for its credentials and all activity on its account.
• WhatsApp is connected through Meta's official flow and requires the Merchant to grant specific permissions.
• The Merchant may disconnect at any time from the dashboard or from its Meta account settings.
• Use of WhatsApp is additionally governed by Meta's and WhatsApp's business policies.

4. Merchant obligations

• Obtain customers' consent to be contacted on WhatsApp, in line with Meta's policies and applicable law.
• No spam or unsolicited bulk marketing.
• No goods or services that are unlawful or prohibited by Meta's commerce policies.
• Keep catalogue prices, stock and product information accurate.
• No attempts to breach the Platform, exceed usage limits by circumvention, or access other tenants' data.

Breach may lead to immediate suspension, and may lead to the Merchant's number being banned by Meta, which is outside our control.

5. Subscription and fees

• The service is offered on subscription plans; plan limits are shown at signup and in the dashboard.
• Fees are payable in advance per cycle and are non-refundable for a cycle already started, unless the law requires otherwise.
• We may change prices with at least 30 days' notice, effective from the following cycle.
• Exceeding plan limits may restrict the service until the plan is upgraded or a new cycle begins.

6. Data and intellectual property

• The Merchant's data, catalogue and customer conversations belong to the Merchant. Our use is limited to operating the service, as described in the Privacy Policy.
• The Platform itself — code, design and brand — remains ours; the Merchant receives only a right to use it during the subscription.
• The Merchant may request a copy of its data or its deletion — see Data Deletion Instructions.

7. Availability

We work to keep the service running but do not guarantee uninterrupted availability. The service depends on third parties (Meta/WhatsApp, hosting and model providers) whose outages affect us. Planned maintenance is announced in advance where possible.

8. Limitation of liability

The service is provided "as is". To the extent permitted by law, we are not liable for lost profits or indirect or consequential damages, and our total liability for any claim will not exceed the fees actually paid by the Merchant in the preceding 3 months. We are not liable for commercial decisions or commitments arising from assistant conversations; the Merchant owns the commercial decision.

9. Suspension and termination

• The Merchant may cancel at any time; the account remains active until the end of the paid cycle.
• We may suspend or terminate immediately for a material breach of these Terms or of Meta's policies, or for use that harms the Platform or other users.
• After termination, data is deleted within the periods stated in the Privacy Policy.

10. Changes to these Terms

We may amend these Terms and will notify merchants by email 30 days before any material change takes effect.

11. Governing law

These Terms are governed by the laws applicable in Palestine, with the courts of Jenin having jurisdiction, unless mandatory law provides otherwise.
